I'am not really sure about this but I think it might be a legal thing so that the Disney Company can't be held responsible for anything if something should go wrong.

I asked a question about this a while back. It also seemed to me that they are planning now for more merchandise rather than production stuff, but I forget where I saw that information at.

It's a legal thing. Rather than officially joining Disney they are owned by a seperate company called 'Muppets Holding Company' so that all the Muppet business is not mixed legally with the regular Disney interests, especially in the first years where other companies could stake a claim on things that Disney have bought and cause ownership cases and things. So Disney doesn't officially own the Muppets, the Muppet Holding Company does, but Disney own the Muppets Holding Company.
